6. Client Responsibilities & Requirements

- Access Provision: Website, social media, and advertising account access

- Advance notice (minimum 24 hours) for meeting rescheduling
- Prompt notification of any business changes affecting campaigns

- All client-provided content must be legally compliant and accurate

- High-resolution logos and brand assets must be provided within 48 hours of request

8. Refund & Cancellation Policy

- Setup fees are non-refundable once work has commenced

- Unused portions of pre-paid strategy hours expire after 12 months
8.2 Monthly Retainer Services
- 30-day written notice required for cancellation
- Services continue through the end of the current billing cycle
- No refunds for partial months of service

- 25% refund available if project cancelled before 25% completion
- No refund available after 25% project completion
- All completed work and materials remain property of client
8.4 Advertising Spend
- Advertising budgets managed on behalf of client are non-refundable
- Unused advertising spend remains in client's advertising accounts
- Management fees for advertising are earned upon campaign launch
9. Force Majeure & Service Interruptions
9.1 Uncontrollable Circumstances
We are not responsible for delays caused by:
- Third-party platform outages (Google, Facebook, etc.)
- Client delays in providing feedback or materials
- Acts of God, natural disasters, or government restrictions
- Technical failures beyond our reasonable control
9.2 Service Recovery
In the event of service interruptions:
- Immediate notification to affected clients
- Timeline adjustments as necessary
- Expedited service recovery when possible
- Transparent communication throughout resolution process
10. Intellectual Property & Confidentiality
10.1 Work Product Ownership
- Custom strategies and campaigns become client property upon full payment
- MarketMagnetix retains rights to general methodologies and processes
- Client maintains ownership of all brand materials and business information
- Third-party tools and platforms retain their respective ownership rights

- Secure handling and storage of all client materials and data
- Team members bound by confidentiality agreements
11. Limitation of Liability
Our total liability for any claims related to our services shall not exceed the amount paid by the client for services in the 12 months preceding the claim. We are not liable for:
- Indirect, consequential, or punitive damages
- Lost profits or business opportunities
- Third-party platform policy changes affecting campaign performance
- Results affected by factors outside our direct control
12. Dispute Resolution
12.1 Resolution Process
- Direct Communication: Initial attempt to resolve through account manager
- Management Review: Escalation to management team if needed
- Mediation: Professional mediation if direct resolution unsuccessful
- Arbitration: Binding arbitration as final resolution method
12.2 Governing Law
This policy is governed by the laws of New Jersey, United States, and any disputes will be resolved in New Jersey jurisdiction.
13. Policy Updates
We reserve the right to update this Fulfillment Policy with 30 days written notice to clients. Continued use of our services after policy updates constitutes acceptance of the revised terms.
